Terms of Service

1. Acceptance of Terms
By accessing or using the GhostSync service (“Service”) provided by GhostSync (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. If GhostSync provides a separate order form or written commercial agreement, that agreement controls to the extent of any conflict with these Terms.
2. Description of Service
GhostSync is an inventory synchronisation platform that automates the process of parsing supplier inventory updates delivered via email (CSV, Excel, and PDF attachments) and applying those updates to your Shopify store. The Service connects to your Shopify store via the Shopify Admin API and processes supplier-provided files on your behalf.
3. Account Registration and Security
To use the Service you must register for an account and connect a Shopify store. You agree to:
- Provide accurate and complete registration information
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorised use of your account
- Be responsible for all activity that occurs under your account
You must be at least 18 years old and have authority to bind the business on whose behalf you are registering.
4. Subscription, Billing, and Refunds
GhostSync offers a free tier and paid subscription plans.
- Free tier — available with usage limits as described on our pricing page. No credit card required.
- Paid plans — billed in advance via Stripe.
- Refunds — Paid subscriptions are generally non-refundable unless required by law or otherwise agreed in writing.
- Price changes— we will provide at least 30 days’ notice before changing subscription prices. Continued use of the Service after the notice period constitutes acceptance of the new pricing.
5. Acceptable Use
You agree not to:
- Use the Service to scrape, harvest, or systematically extract data from Shopify or supplier systems beyond what is required for inventory synchronisation
- Resell, sublicense, or white-label access to the Service without our written permission
- Reverse engineer, decompile, or disassemble any part of the Service
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Use the Service in any manner that violates applicable law or the Shopify Partner Program policies
- Introduce malware or otherwise interfere with the integrity of the Service
6. Shopify Integration
By connecting your Shopify store to GhostSync you grant us OAuth permission to access and modify inventory data on your behalf. GhostSync acts as a data processor for your Shopify store data. You retain ownership of all merchant data; we process it solely to perform inventory synchronisation as directed by your configuration. GhostSync currently requests the following Shopify scopes: write_inventory, read_inventory, read_locations, read_products. You may revoke access at any time from your Shopify admin. If you uninstall GhostSync from Shopify, GhostSync stops live inventory syncs for that store immediately, requests end-of-period cancellation for any active paid subscription, and completes merchant-data deletion when Shopify later delivers itsshop/redact lifecycle webhook.
7. Limitation of Liability
To the fullest extent permitted by applicable law:
- Exclusion of indirect damages — GhostSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, even if advised of the possibility of such damages.
- Liability cap— GhostSync’s total aggregate liability to you for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the fees paid by you to GhostSync in the three months immediately preceding the claim, or (b) USD $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions our liability is limited to the fullest extent permitted by law.
8. Termination
Either party may terminate the agreement at any time. You may cancel your subscription from the billing settings in your dashboard. We may suspend or terminate your account if you materially breach these Terms and fail to cure the breach within 7 days of written notice. Upon termination:
- Your access to the Service will be disabled immediately
- If you request account deletion, GhostSync immediately removes core merchant records from the active product database
- If you uninstall the Shopify app, GhostSync marks the store uninstalled immediately and waits for Shopify's later
shop/redactwebhook before completing merchant-data deletion - Accrued payment obligations survive termination
Some supporting, provider-side, finance, support, and log records may follow separate retention or manual cleanup workflows. Export any data you need before deleting the account.
9. Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada.
The contracting entity for the Service is GhostSync, with a mailing address of Ontario, Canada (registered address pending).
10. Changes to Terms
We may update these Terms from time to time. We will provide at least 30 days’ notice of material changes by email to your registered address. Continued use of the Service after the notice period constitutes acceptance of the revised Terms. The “Last Updated” date at the top of this page always reflects the most recent revision.
